Greenflag Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and Smarttie Software Inc. ("Smarttie," "Greenflag," "we," "us," or "our") governing your access to and use of Greenflag, the trygreenflag.com website, our mobile applications, our public profile pages, our server APIs, and related services (together, the "Services").
Please read these Terms carefully. They include an agreement to resolve most disputes through binding arbitration on an individual basis and a waiver of class actions and jury trials if you live in the United States (Section 25), with a 30-day opt-out. By creating an account, accessing, purchasing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. What Greenflag Is
Greenflag is a city-locked dating app built on one distinguishing rule: your dating profile is built by your friends, not by you. You provide raw inputs — photos and a few basic facts — and invite phone-verified friends, family, or loved ones ("Vouchers") to build a slide-style pitch of you and leave short written vouches. Your profile does not go live in discovery until at least one Voucher has completed a pitch and left a vouch.
The Services also include features such as a shareable public profile page (the "Public Deck"), city-locked ("intra-metro") discovery, a low-pressure interest mechanic ("Curious"), in-app messaging on a mutual match, a mutual opt-in to convert a match from dating to friendship, photo verification, and reporting and safety tools. We may change, add, or remove features over time.
3. Eligibility
You may use the Services only if you can form a binding contract with us and only in compliance with applicable law.
You must be at least 18 years old to use the Services. Greenflag is an adults-only dating service. It is not directed to anyone under 18, and we do not knowingly allow anyone under 18 to create an account. If we learn that a user is under 18, we will terminate the account.
You may use the Services only for your own personal, non-commercial use, and you may keep only one account. You may not use the Services if we have previously suspended, terminated, or banned you (or your prior account), or if doing so is prohibited where you live.
You also represent and warrant that:
- you are an individual (not a corporation, partnership, or other entity) acting on your own behalf;
- you are not a registered sex offender and have not committed, been convicted of, or pleaded guilty or no contest to a felony or indictable offense (or crime of equivalent seriousness), a crime of violence or threatened violence, or any sexual offense or sexual misconduct;
- you are not located in, or a resident of, a country or region subject to a comprehensive Canadian, U.S., or other applicable trade embargo or sanctions, and you are not on any government restricted-, denied-, or prohibited-party list (such as the U.S. Treasury's list of Specially Designated Nationals or any similar list); and
- you are not otherwise prohibited by law from using a dating service or from interacting with the people you may meet through it.
If any of these stops being true, your authorization to use the Services is automatically revoked, you must stop using and delete your account, and we may remove your access without notice.
4. Accounts and Phone Verification
To use Greenflag you create an account tied to a phone number, which we verify by sending a one-time verification code by SMS. Vouchers must also verify their phone number before they can build a pitch or leave a vouch. By entering your number and continuing, you consent to receive a verification code by text message; message and data rates may apply. Verification codes are used to confirm your number and secure your account — they are not used for marketing.
You agree to provide accurate, current information and to keep it accurate. You are responsible for activity on your account and for keeping your device, phone number, and login credentials secure. Notify us at support@trygreenflag.com if you believe your account has been compromised. You may not share, sell, transfer, or let anyone else use your account, and you may not create an account for anyone other than yourself.
5. Identity, Photo Verification, and Safety — No Background Checks
Greenflag requires daters to complete a photo verification check (a live "liveness" capture and a face match against a chosen profile photo) before a profile goes live. Verification is designed to reduce fake profiles, but it is not a guarantee of anyone's identity, intentions, age, criminal history, or safety.
We do not conduct criminal background checks, sex-offender-registry screenings, or identity investigations on users, and we are not responsible for the conduct of any user on or off the Services. You are solely responsible for your interactions with other people you meet through Greenflag. Photo verification, reporting tools, and any screening we may use do not guarantee your safety and are not a substitute for your own caution. Always use good judgment, meet new people in safe public places, tell a friend where you are going, and review the safety tips we provide. If you ever feel you are in danger, contact local emergency services.
We may — but are not obligated to — make use of available public records, sanctions and prohibited-party lists, or third-party screening or fraud-prevention services to help keep the community safe. Where we use a consumer reporting agency for this purpose, you authorize us to obtain and use a consumer report about you to evaluate your eligibility, to the extent permitted by applicable law. Using or declining to use any such tool does not make us responsible for any user's conduct or for your safety.
6. How Greenflag Works (Friends, Vouchers, and Profiles)
Daters. You upload photos and basic facts as raw material. You do not write your own bio or pitch. You may make limited edits to your own raw assets, hide or unpublish your profile, but you cannot meaningfully rewrite what your Vouchers create about you.
Vouchers. People you invite may build your pitch and leave a vouch. The relationship is shown honestly (for example, "vouched by his sister"). If you act as a Voucher for someone else, you agree that your contributions are sincere, are your own words, do not impersonate anyone, and do not violate these Terms or anyone's rights. You grant the dater and Greenflag the rights described in Section 7 and Section 8 to display and distribute your contributions as part of that profile and its Public Deck.
Going live and distribution. A profile needs at least one completed pitch and one vouch to go live. We may give lower distribution to profiles with fewer vouchers, and we may rank, surface, or withhold profiles in discovery at our discretion to protect quality and safety.
You are responsible for your roster. You represent that you have permission to invite the people you invite, that the photos and information you provide do not violate anyone's rights, and that you have the consent of people who appear in your photos.
7. Your Content
"User Content" means everything you, or your Vouchers on your behalf, create, upload, submit, publish, or make available through the Services — including photos, facts, pitches, deck slides, vouches, messages, reports, and feedback.
You own your User Content. These Terms do not transfer ownership of your User Content to us.
You grant us a limited, non-exclusive, worldwide, royalty-free, sublicensable license to host, store, copy, transmit, process, adapt, format, translate, display, and distribute your User Content only as reasonably necessary to:
- operate, provide, secure, and improve the Services (including building and showing your profile and Public Deck, and intra-metro discovery and matching);
- perform actions you or your Vouchers request, such as translating a vouch written in another language, generating or assisting a pitch, or delivering a message;
- enforce these Terms, our Community Guidelines, and applicable law; and
- prevent fraud, abuse, security incidents, and harm to users or third parties.
Because a dating profile and Public Deck necessarily show who you are, this license includes the right to use your name, voice, image, and likeness (and those of people who appear in your User Content with their consent) solely to build, display, and distribute your profile, Public Deck, matches, and the other features described above — not for separate advertising or endorsements without your permission.
Unlike some services, we do not take a perpetual, all-purpose license to your User Content, and we do not use the private content of your messages or your vouches to train general-purpose AI models. The AI features described in Section 14 process only the specific content you or your Vouchers submit for a requested action (such as translating a vouch). We may create and use de-identified or aggregated information (which cannot reasonably be used to identify you) to operate, secure, analyze, and improve the Services.
This license ends when your User Content is removed, except for copies retained in backups, audit logs, shared/forwarded copies outside our control, and as otherwise described in our Privacy Policy or required by law. We are not obligated to display, store, or keep any User Content. You represent that you have all rights and consents needed for your User Content and that it does not violate law, these Terms, or anyone's rights.
8. Public Deck and Shared Content
The friend-built pitch may render as a Public Deck — a shareable web page (for example at trygreenflag.com/pp/<link>) at an unguessable address that is designed not to be indexed by search engines. Building and sharing a Public Deck is part of the Services.
If you publish a Public Deck or otherwise make content public or shared, you grant us and the people you share it with the rights reasonably necessary to display, copy, preserve, and distribute that content through the feature. Anything you make public or share can be viewed, screenshotted, copied, cached, exported, or re-shared by others outside our control. You can revoke or unpublish a Public Deck using the controls we provide, but revocation cannot delete copies others already accessed, saved, or re-shared. Because a Public Deck can include photos and your Vouchers' words, you are responsible for having the dater's and Vouchers' consent to publish it.
9. Acceptable Use and Community Guidelines
Your use of Greenflag is also governed by our Community Guidelines, which are incorporated into these Terms. Among other things, you agree not to:
- use the Services if you are under 18, or interact with anyone you know or believe to be under 18;
- harass, threaten, bully, defame, stalk, intimidate, or harm anyone;
- post or send content that is unlawful, hateful, violent, sexually exploitative, harassing, deceptive, or that depicts or solicits sexual content involving minors (which we report to authorities);
- use the Services for commercial solicitation, escorting, sex work, "sugar"/financial-arrangement solicitation, advertising, recruiting, fundraising, scams, fraud, or any money-making scheme;
- solicit money, gift cards, cryptocurrency, loans, or other items of value from other users, or post banking, payment-app, or other financial-handle information in your profile content;
- impersonate any person, create fake or misleading profiles or vouches, or misrepresent your identity, age, or affiliations;
- share other people's private or identifying information without permission, or record, capture, or share another person's information or images without any consent required by law;
- upload viruses or malicious code; scrape, crawl, harvest, or collect data about users; use bots or automation to access the Services; or use any content from the Services to develop, train, or improve any machine-learning or AI model or any competing product;
- create a new account after we have suspended, terminated, or banned you, or otherwise evade enforcement;
- bypass or interfere with security, verification, rate limits, payment, or access controls, or probe, overload, or disrupt the Services or related systems;
- infringe anyone's intellectual property, privacy, publicity, or other rights.
We may remove content, limit features, and suspend or terminate accounts that we believe violate these Terms, the Community Guidelines, or the law, or that create risk to users or to us.
10. Reporting, Moderation, and Enforcement
Every conversation includes a one-tap report flow. We review reports and may act on them, including removing content, limiting distribution, warning, suspending, or banning accounts, and notifying a user's Vouchers through a private "friend-aware accountability" signal where appropriate. We aim to review urgent safety reports promptly. We may use a combination of automated tooling and human review. We are not obligated to monitor the Services, but we may do so. Enforcement decisions are at our reasonable discretion; we may offer an appeal process where feasible.
11. Permissions
Some features require operating-system permissions, such as camera (for photo verification and photos), notifications, and approximate location (to place you in the correct metro for city-locked discovery). You control these permissions through your device settings, but some features will not work without them.
12. Payments, Access, and Refunds
Greenflag is free to start. There is no subscription. When you reach a qualifying match, you may be offered one-time annual access that unlocks messaging and runs for one year from purchase. The standard price is approximately US$69.99 per year of access (shown to you before purchase, and subject to change and to local taxes and currency).
- No auto-renewal. Annual access does not renew automatically. It simply expires at the end of the period unless you choose to purchase again. We will not charge you again without a new purchase.
- Discretionary discounts and free access. We may, at our sole discretion, offer discounts, promotions, founding-member access, or free access to some users or groups at any time. These offers do not change the price for anyone else and create no obligation to offer the same terms to you.
- How you pay. Purchases are made through the Apple App Store or Google Play using in-app purchase. Those stores process the payment and are also governed by their own terms, billing rules, and refund policies. We receive purchase and receipt confirmation from the store, not your full payment-card details.
- Refunds. Except where required by law or by the applicable app store's policy, payments are non-refundable, and we do not give refunds or credits for periods of access you do not use. Refund requests for app-store purchases are generally handled by Apple or Google under their policies.
- Chargebacks. If you initiate a chargeback or payment reversal that we believe is unwarranted or fraudulent, we may suspend or terminate your access, without limiting your genuine consumer rights.
- Changes. We may change prices, what access unlocks, or the way access is offered. Price changes do not affect access you have already purchased.
Mandatory consumer rights. Nothing in this Section limits any non-waivable rights you have under the consumer-protection laws that apply to you, including:
- Statutory cancellation / cooling-off. Where required by applicable law (including certain U.S. states' dating-service and consumer statutes), you may cancel a qualifying purchase, without penalty, until midnight of the third business day after you purchase (or within any longer period the law requires), and receive a refund as the law provides.
- Death or disability. Where required by applicable law, if you die or become disabled during a paid period of access, you or your estate may request a refund for the unused portion.
- Mexico (PROFECO). Mexican consumer-protection rules under PROFECO and other non-waivable local rights continue to apply.

California residents: under California Civil Code § 1789.3, you may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
13. Third-Party Services
The Services rely on third parties, including Apple and Google (app distribution and in-app purchases), Twilio (SMS verification), Didit (photo verification), OpenRouter and Google (AI features such as translation), Google Cloud Platform and Google Maps (hosting and location), and tools for chat, email, analytics, and error reporting. These third parties are governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, or their handling of data. Our use of these providers is described in our Privacy Policy.
14. AI Features
Some features use AI — for example, translating a vouch written in another language so it reads naturally for local readers, or assisting Vouchers in building a pitch. AI output can be inaccurate, incomplete, or unsuitable, and it is not professional advice. AI requests are processed through OpenRouter and a model provider (currently a Google Gemini model). We may change models, providers, or AI behavior at any time. You are responsible for the content you and your Vouchers create with the help of these features.
15. Intellectual Property
The Services — including our software, website, designs, the Greenflag name and logo, and related branding — are owned by Smarttie or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer (except where the law permits), or build a competing product from our non-public functionality, and you may not use our trademarks without our written permission. We reserve all rights not expressly granted.
16. Copyright and Rights Complaints
If you believe content on the Services infringes your copyright or other rights, contact legal@trygreenflag.com with: your contact information; a description of the work or right; the location of the allegedly infringing content; a statement of good-faith belief that the use is unauthorized; a statement, made under penalty of perjury, that your notice is accurate and that you are the rights holder or authorized to act for them; and your physical or electronic signature. We may remove content, disable sharing, or suspend accounts in response to valid complaints and may terminate repeat infringers.
If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice to legal@trygreenflag.com with the same identifying and signature information and a statement, under penalty of perjury, of your good-faith belief that the content was removed in error. We will handle valid notices and counter-notices consistent with applicable copyright law, including the U.S. Digital Millennium Copyright Act where it applies.
17. Feedback
If you send us feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without compensation or obligation of confidentiality.
18. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Services you acknowledge the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy about how we handle personal information, the Privacy Policy controls for that issue.
19. Changes to the Services
We may modify, suspend, discontinue, or limit any part of the Services at any time, and we may release updates that change features or requirements. We are not liable for changes to or discontinuation of the Services, except where applicable law requires otherwise.
20. Suspension and Termination
You may stop using the Services and delete your account at any time through in-app controls or by contacting support@trygreenflag.com. We may suspend, restrict, or terminate your access if we reasonably believe you violated these Terms or the Community Guidelines, created risk or liability, used the Services abusively or unlawfully, or where required by law or app-store rules. On termination, your license to use the Services ends. Sections that by their nature should survive — including ownership, content responsibilities, payment obligations, disclaimers, limitation of liability, indemnity, and dispute resolution — survive termination.
21. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability. We do not warrant that the Services will be uninterrupted, secure, error-free, or that any profile, match, verification, or interaction will meet your expectations or be safe. Greenflag is not responsible for the conduct of any user, online or offline, and you assume the risks of interacting with other people. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.
22. Limitation of Liability
To the maximum extent permitted by law, Smarttie and its directors, officers, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, or for any harm arising from your interactions with other users.
To the maximum extent permitted by law, our total liability for all claims relating to the Services or these Terms will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US$100.
Nothing in these Terms limits liability that cannot legally be limited, including for fraud, intentional misconduct, or rights you have under mandatory consumer-protection laws.
23. Indemnity
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Smarttie and its directors, officers, employees, contractors, affiliates, agents, and licensors from claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to your use or misuse of the Services, your User Content, your conduct toward other users, your violation of these Terms or the law, or your violation of anyone's rights. This does not apply to the extent a claim is caused by our own unlawful conduct.
24. Consumer Rights
Nothing in these Terms limits mandatory rights you may have under consumer-protection, privacy, or other laws that cannot be waived by contract — including, for users in Mexico, rights under the Federal Consumer Protection Law (PROFECO), and for users in the United States, non-waivable state consumer rights. If any provision is unenforceable where you live, it applies to the maximum extent permitted and the rest of these Terms remain in effect.
25. Governing Law and Dispute Resolution
Informal resolution first. Before starting any arbitration or lawsuit, you agree to first send a written notice of dispute to legal@trygreenflag.com that includes your name, the phone number on your account, a description of the dispute, and the relief you are seeking, and to try in good faith to resolve it for at least 60 days. Completing this step is a condition that must be met before either of us starts a formal proceeding (except that either party may always bring a qualifying individual claim in small-claims court). The deadlines for filing (including any statute of limitations) are paused while the parties work through this informal process in good faith. Most concerns can be resolved this way.
Governing law. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules, except where the mandatory law of your home jurisdiction applies.
If you are NOT in the United States. Subject to mandatory laws that apply where you live, the courts located in Vancouver, British Columbia, Canada have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services, and you and Smarttie consent to the personal jurisdiction of those courts. (For example, if you are in Mexico, this does not override non-waivable PROFECO consumer rights or competent local consumer forums.)
If you ARE in the United States — Binding Arbitration and Class-Action Waiver. Please read this carefully; it affects your legal rights.
- Agreement to arbitrate. You and Smarttie agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be settled by final and binding individual arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitrator decides all issues, except that a court may decide the enforceability of this arbitration agreement and the Class-Action Waiver below.
- Class-action and jury-trial waiver. You and Smarttie agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. You and Smarttie waive any right to a jury trial. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.
- 30-day opt-out. You may opt out of this arbitration agreement by emailing legal@trygreenflag.com within 30 days of first accepting these Terms, stating your name, the phone number on your account, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
- Small-claims exception. Either party may bring an individual claim in small-claims court if it qualifies.
- Sexual-assault and sexual-harassment claims. Nothing in this Section requires arbitration of a claim that, under the U.S. Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act (or any similar applicable law), you may elect to bring in court. If you have such a claim, you may pursue it in court regardless of this arbitration agreement and the class-action and jury-trial waivers do not apply to it. This informal-resolution requirement also does not delay such a claim.
- Coordinated or mass filings. If 25 or more similar arbitration demands are filed by or with the help of the same or coordinated counsel, the parties agree the demands may be administered in staged batches (with representative "bellwether" cases resolved first) to keep the process efficient and fair, consistent with AAA procedures. Filing deadlines are paused for demands awaiting their turn in a batch, and arbitration fees come due only as each demand is selected to proceed. This does not waive anyone's right to individual arbitration.
- Costs and location. AAA rules govern fees; arbitration may be conducted by documents, phone, video, or in person in a mutually convenient location consistent with AAA rules. The Federal Arbitration Act governs the interpretation and enforcement of this section.
- Severability. If the Class-Action Waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court; the rest of this Section remains in effect.
26. Changes to These Terms
We may update these Terms from time to time. When changes are material, we will provide notice by posting the updated Terms, updating the "Last Updated" date, and/or sending in-app or email notice where available. Your continued use of the Services after the update takes effect means you accept the updated Terms. If you do not agree, stop using the Services. If we make a material change to the Limitation of Liability (Section 22) or the arbitration and dispute-resolution provisions (Section 25), we will give you a renewed opportunity to opt out of the updated arbitration agreement as described in Section 25, and that change will not apply to a dispute of which we already had notice.
27. General
These Terms, together with the Privacy Policy, Community Guidelines, and any feature-specific terms, are the entire agreement between you and us regarding the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets. Our failure to enforce a provision is not a waiver. If any provision is found invalid or unenforceable, the remaining provisions remain in effect.
